Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding agreement between you ("User") and AlphEdge Ltd., an Israeli limited company ("AlphEdge"). By creating an account or using any part of the AlphEdge service (the "Service"), you agree to be bound by these Terms, our Privacy Policy, and our Risk Disclosure. If you do not agree, you must not use the Service.

2. Definitions

• "Service" — the AlphEdge web platform, dashboard, APIs, trading bot, and related tools that facilitate automated trading on prediction markets.
• "Prediction Markets" — third-party decentralized markets (including Polymarket) where users wager on event contracts.
• "User Wallet" — a blockchain wallet owned by you, whose private key you provide for encrypted storage and use.
• "AI Ensemble" — the statistical, ML, and LLM components AlphEdge uses to score trading opportunities.

3. Eligibility

You represent and warrant that:

• You are at least 18 years old and legally competent to form a binding contract.
• You are not located in a jurisdiction where use of the Service or trading on Prediction Markets is prohibited.
• You are not subject to any US, EU, UK, Israeli, or UN sanctions list.
• You are not using the Service on behalf of any sanctioned person or entity.

4. Restricted Jurisdictions

You may not use the Service if you are located in or a resident of any jurisdiction where its use is illegal. This includes, without limitation, jurisdictions where Polymarket itself is restricted, such as (as of the date above) the United States, United Kingdom, France, Belgium, Singapore, Thailand, Taiwan, Poland, Ontario (Canada), and Australia. This list is non-exhaustive; you are solely responsible for determining whether your use is lawful.

5. Nature of the Service — Non-Custodial Tool

AlphEdge is a software tool. We do not take custody of your funds. Trades execute directly from your User Wallet via signed transactions on the underlying blockchain and Prediction Market. We do not act as a broker, dealer, exchange, investment adviser, money transmitter, or financial institution, and nothing in the Service constitutes an offer or solicitation to buy or sell any security, commodity, or other financial instrument.

6. Account Security & Private Keys

You are responsible for maintaining the confidentiality of your login credentials and two-factor authentication. Private keys you provide are encrypted at rest using AES-256 via HashiCorp Vault and decrypted only in memory at the moment of transaction signing. AlphEdge cannot recover a lost password or private key. You accept full responsibility for any loss from unauthorized access, misplaced credentials, or compromised devices.

7. Prohibited Uses

You agree not to:

• Use the Service for unlawful purposes or in violation of third-party terms (including Polymarket's own terms);
• Reverse-engineer, decompile, or derive source code from the Service;
• Scrape or harvest data beyond authorized API usage;
• Interfere with or disrupt the Service or its infrastructure;
• Use another user's account without permission;
• Circumvent jurisdictional restrictions via VPN or misrepresentation.

8. Fees & Billing

Subscription fees are charged in advance, monthly or annually, via Stripe. Fees are non-refundable except as required by applicable law. We may modify fees with 30 days' prior notice. Continued use after the notice period constitutes acceptance. Israeli VAT is added where applicable.

9. Intellectual Property

The Service, including all software, models, designs, text, graphics, and trademarks, is the exclusive property of AlphEdge Ltd. or its licensors, protected under Israeli and international law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, lawful trading activity only.

10. No Investment Advice

The Service, its outputs, dashboards, signals, and all communications from AlphEdge do not constitute investment, financial, legal, or tax advice. The AI Ensemble produces probabilistic scores and cannot predict outcomes with certainty. You alone are responsible for your trading decisions. Consult a licensed financial adviser before trading.

11. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by Israeli law, AlphEdge disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, non-infringement, and warranties of accuracy, completeness, or uninterrupted availability. Nothing here limits liability for fraud, willful misconduct, or personal injury caused by negligence where such limitation would be unenforceable.

12. Limitation of Liability

To the maximum extent permitted by Israeli law, AlphEdge shall not be liable for indirect, incidental, consequential, exemplary, or punitive damages — including loss of profits, trading losses, or business interruption — arising from the Service. Total aggregate liability for direct damages shall not exceed the greater of (a) fees you paid in the twelve (12) months preceding the event, or (b) one hundred U.S. dollars ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless AlphEdge, its officers, directors, employees, and agents from any claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising from (a) your use or misuse of the Service, (b) your violation of these Terms or applicable law, or (c) your trading activity.

14. Suspension & Termination

We may suspend or terminate your access at any time, including for suspected violation of these Terms or unsafe trading behavior. You may cancel from Settings. Upon termination, we delete encrypted private keys within thirty (30) days and personal data per our Privacy Policy. Sections 9 through 17 survive termination.

15. Service Availability & Force Majeure

We target, but do not guarantee, 99.9% monthly uptime. The Service may be unavailable due to maintenance, blockchain congestion, third-party outages, security incidents, or force majeure including war, natural disasters, government actions, pandemics, or network failures. AlphEdge is not liable for any loss caused by such unavailability.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Israel. Any dispute shall be submitted to the exclusive jurisdiction of the competent courts of Tel Aviv-Jaffa. Before initiating formal proceedings, the parties shall attempt in good faith to resolve disputes by informal negotiation for at least thirty (30) days after written notice.

17. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and Risk Disclosure, constitute the entire agreement.
Severability. If any provision is unenforceable, the remainder remains in full effect.
Changes. Material changes will be notified at least 30 days before taking effect.
Language. The English version is authoritative. In case of conflict, English prevails.
